Non-disclosure
Agreement
This
is an Agreement and acknowledgement between MISCELLANEOUS:
TRADUÇÕES TÉCNICAS E LITERÁRIAS located elsewhere, (herein “MTTL”) and
__________________________________________________________________________
(hereinafter referred to as “ Potential Vendor”)
Confidentiality and non-disclosure:
1.
Potential Vendor accepts and acknowledges that any material or information
supplied to him/her by MTTL or its client, be it printed, verbal,
electronically recorded or transferred, or in any format, is to be kept
strictly confidential and is the property of MTTL or its clients.
2.
Potential Vendor agrees not to disclose, divulge or discuss any information or
material furnished to him/her with any third parties, or otherwise utilize any
such information or material, other than for the purposes for which he/she is
specifically contracted at any time in the future, without the expressed
written authorization and permission from MTTL or its client, except as
required to be disclosed by applicable law, regulation, rule or order of a
duly-empowered court, tribunal or government entity having jurisdiction over
Potential Vendor, provided that Potential Vendor shall give written notice to MTTL
prior to such disclosure. Proprietary and confidential information shall not
include any information that becomes publicly available through no act of the
Potential Vendor; or is rightfully received by the Potential Vendor from a
third party.
3.
Potential Vendor agrees to exercise due care with this information to prevent
its unauthorized disclosure.
4.
Receipt of the material is with the understanding that all material submitted,
and any copies thereof, will be returned to MTTL, upon completing the
translating of the project. Potential Vendor acknowledges that all such
information is and will remain property of MTTL and that unauthorized use will
cause irreparable harm to the company. Potential Vendor agrees that in the
event of breach of this Agreement, MTTL will be entitled to injunctive relief
and any other remedies permitted by law.
5.
Potential Vendor accepts that any material or information supplied to him/her
by MTTL for the purpose of determining if he/she is capable or interested in
accepting a prospective Work Order is to be treated in accordance with all of
the above conditions of confidentiality and non-disclosure, whether or not the
Work Order for the services is issued.
In the event that a work order is not issued to Potential Vendor for
their services, the Potential Vendor
agrees to permanently destroy all material provided to them by MTTL.
The above terms,
conditions, and statements pertaining to the relationship between MTTL and Potential
Vendor are hereby acknowledged, accepted, and understood. Accepted by:
